Terms of Service

Draft — last updated September 8, 2026

This is a working draft, not a finished agreement. It was written to match what the DinoDeals platform actually does, so that a qualified attorney has something concrete to review, correct and complete rather than a blank page. It has not been reviewed by a lawyer. Do not publish it as binding terms until it has been.

These Terms govern your use of DinoDeals — the mobile applications, the website, and the related services (together, the Services) operated by S3Orbit LLC (S3Orbit, we, us). By creating an account or using the Services you agree to them. If you do not agree, do not use the Services.

1. What DinoDeals is, and what it is not

DinoDeals is a technology and advertising platform. We publish offers that restaurants and other businesses choose to advertise, and we help people find those offers near them.

We are not a party to any transaction between you and a business. We do not sell, prepare, serve or deliver food or any other product. We do not take payment for meals, we do not set prices, and we do not control whether a business honours an offer it has published. Your purchase is between you and that business.

This section is the one that matters most and the one an attorney should scrutinise first. It defines whether we are a marketplace, an aggregator or an advertising platform, and that classification drives everything about liability when a deal goes wrong.

2. Deal and price accuracy

Prices, offers, availability and terms shown in the Services are supplied by the participating businesses and may change or end at any time without notice. We do not verify them and we cannot guarantee that any offer will be available, honoured, or priced as displayed.

Offers may be subject to conditions the business sets — dine-in only, limited hours or days, one per guest, limited quantities, or exclusions — whether or not those conditions are shown in full. Always confirm the current price and conditions with the business before you order.

If a business refuses to honour an advertised offer, please report it. We will look into it and remove offers that are no longer real. We cannot honour an offer on a business's behalf, provide the difference in price, or compensate you for a wasted journey.

3. Your account

4. If you are a business

Additional terms apply when you claim a venue or publish offers.

5. Subscriptions and billing

Publishing offers is free for an introductory period, after which a paid subscription is required to keep them visible. Current pricing is shown in the app before you subscribe.

6. Acceptable use

Do not use the Services to:

7. Reporting content, and takedown

Anyone can report a deal or a business from within the app, or by emailing admin@s3orbit.com. We review reports and may remove content or suspend accounts at our discretion.

If you believe content on DinoDeals infringes your copyright, send a notice to admin@s3orbit.com identifying the work, where the infringing material appears, your contact details, and a statement that you believe in good faith the use is unauthorised. [Attorney to complete: DMCA agent designation, counter-notice procedure, and repeat-infringer policy.]

8. Availability

We provide the Services as they are. We do not promise they will be uninterrupted or error-free, and we may change, suspend or discontinue features. Location-based results depend on your device and on third-party mapping data, and may be incomplete or out of date.

9. Disclaimers

To the fullest extent the law allows, the Services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We make no warranty about any business listed, any offer published, or the quality or safety of anything you buy from a business you found through us.

10. Limitation of liability

[Attorney to draft. This section should be written specifically for S3Orbit LLC's jurisdiction, insurance position and risk appetite, not adapted from a template. It needs to address, at minimum: the cap on direct damages, exclusion of indirect and consequential loss, and how it interacts with consumer-protection rights that cannot be waived.]

11. Indemnity

[Attorney to draft, particularly the business-user indemnity for content they publish and offers they fail to honour.]

12. Changes to these Terms

We may update these Terms. Where a change is material we will give notice in the app or by email before it takes effect. Continuing to use the Services after that means you accept the updated Terms.

13. Governing law

[Attorney to complete: governing law, venue, and whether disputes go to arbitration — which has consequences for app-store distribution and for consumers in some states.]
